L&T Technology Services Limited (LTTS) has announced the sale of its Smart World and Communication (SWC) Business Unit for ₹452 crore. The transaction, structured as a slump sale, involves transferring the unit to Private Limited.

The SWC Unit, which includes the smart and safe segment and the communications segment, accounted for ₹1,027.95 crore in revenue for the fiscal year 2024-25, representing 9.63% of LTTS’s consolidated revenue. The unit’s net worth was ₹445.89 crore, constituting 7.31% of LTTS’s net worth as of March 31, 2025.

AMI Paradigm Solutions, the buyer, is a special purpose entity established by ParadigmIT Technology Services Private Limited, promoted by Mr. . The buyer will be a joint venture between ParadigmIT and AM Intelligence Labs Private Limited, which is promoted by the founders of the .

LTTS is focusing on its core sectors, including manufacturing, industrial, and technology-led enterprise sectors, as part of its next five-year roadmap. The company is pivoting towards Engineering Intelligence (EI) and other large technology bets to maintain its leadership position.

The Business Transfer Agreement (BTA) was signed on March 25, 2026, with the transaction expected to close by September 30, 2026, subject to the fulfilment of certain conditions. AM Green B.V. has entered into a guarantee deed with LTTS to ensure the payment of the purchase consideration under the BTA.

The buyer, AMI Paradigm Solutions, does not belong to the promoter or promoter group of LTTS, and the transaction is not a related party transaction.
