Windsor Machines has entered into a Memorandum of Understanding (MOU) with Allerindia Developers LLP for the sale of its non-operational industrial plots located at Wagale Thane Industrial Area, Maharashtra. The transaction, valued at ₹162 crore, involves plots E-6 and E-6(A), which cover a total area of 21,912 square metres and include existing building structures.
The MOU was signed on 10 May 2026, with the sale expected to be completed within six months, pending the signing of definitive agreements and the fulfilment of customary closing conditions and regulatory approvals. The sale is not classified as a related party transaction, as Allerindia Developers LLP does not belong to the promoter or promoter group of Windsor Machines.
Windsor Machines plans to utilise the proceeds from the sale to expand its operations, specifically targeting the expansion of its Rajkot plant. The company aims to monetise the asset, which has not been generating revenue, to support its growth initiatives and general corporate purposes.
The sale is not part of any scheme of arrangement, and the consideration will be received in multiple tranches. The transaction aligns with Windsor Machines’ strategy to optimise its asset base and enhance operational efficiency.
