Kernex Microsystems (India) Limited has officially announced a strategic joint venture agreement with Venkata Rami Reddy Constructions (VRRC), aiming to strengthen its presence in railway infrastructure projects. This collaboration was previously intimated on 23rd July 2025 and has now been formalized under SEBI regulations.
The joint venture will focus primarily on the upgradation of Kavach Version 3.2 to 4.0 along the Sadashivpet Road (excluding) – Bidar to Parli Vaijnath Parbhani (excluding) section of the South Central Railway, with scope for executing future railway projects awarded under this partnership.
In this JV, Kernex Microsystems will hold an 80% stake, while VRRC will hold the remaining 20%. The shareholding ratio is designed to be flexible, adjusting based on the scope of future projects. Notably, this agreement does not grant any special rights such as director appointments or first rights to share subscriptions, and VRRC has not requested any nominee directors on Kernex’s board.
The joint venture is structured as an arm’s length transaction, with no related-party conflicts or liabilities imposed on Kernex Microsystems. The collaboration is expected to enhance Kernex’s execution capabilities and strengthen its foothold in critical railway infrastructure projects.
