The Competition Commission of India (CCI) has approved the proposed merger of Girnar Finserv Private Limited, Girnar Insurance Brokers Private Limited, D2C Consulting Services Private Limited, and RB Info Services Private Limited into Artivatic Data Labs Private Limited. The merger will be executed under the Merger Framework Agreement (MFA) dated May 12, 2025.
According to the press release issued on November 7, 2025 (Press Release No. 77/2025-26), the transaction aims to consolidate the businesses of the merging entities into Artivatic, which provides insurance-related IT services, including API-based and SaaS solutions for underwriting and claims assistance.
Girnar Finserv and Girnar Insurance are both controlled by Girnar Software Private Limited (GSPL), the parent company that operates popular consumer platforms such as CarDekho, BikeDekho, TractorDekho, TruckDekho, BatteryDekho, Rupyy, CarDekho Auctions, PowerDrift, ZigWheels, CollegeDekho, and Crack-Ed, among others. Girnar Finserv offers marketing communication services, while Girnar Insurance distributes insurance products through its InsuranceDekho platform, which holds a composite broking license from the Insurance Regulatory and Development Authority of India (IRDAI).
D2C Consulting, D2C Insurance, and RB Info Services operate the RenewBuy platform, which simplifies access to insurance and financial products through digitally enabled advisors. D2C Insurance holds an IRDAI license as a direct broker for life and general insurance, while RB Info also acts as a direct selling agent for loans and credit cards.
The CCI stated that a detailed order on the combination (Registration No. C-2025/07/1300) will follow.
