AGI Infra Limited has received shareholder approval for a significant related-party transaction, following the Board of Directors’ earlier approval on August 28, 2025. The approval was granted during the company’s 20th Annual General Meeting (AGM) held on Monday, September 29, 2025.
The transaction involves a construction contract with AGI Construction Private Limited for the development of group housing projects. The contract will cover the construction of residential buildings totaling approximately 2,79,600 sq. ft. and has a maximum value of Rs. 325 crore.
The agreement, which is structured as an arm’s-length related-party transaction, will remain in effect from the conclusion of the AGM until March 31, 2030. The company confirmed that Mr. Sukhdev Singh Khinda, Promoter and Managing Director of AGI Infra, has an indirect interest in AGI Construction Private Limited, consistent with the nature of this related-party arrangement.
