Krystal Integrated Services has announced the acquisition of 100% stake in Citelum India Private Limited, strengthening its presence in the urban infrastructure and smart city solutions segment.

The acquisition aligns with Krystal Integrated Services’ strategy to expand its footprint in street lighting, smart infrastructure and urban utility services across India. The company said the deal will help enhance its infrastructure services capabilities and improve its market reach in the fast-growing smart city ecosystem.

Citelum India Private Limited is engaged in end-to-end street lighting and urban infrastructure services, including survey, design, engineering, procurement, installation, commissioning, and long-term operations & maintenance projects.

As part of the transaction, Krystal Integrated Services will acquire 100% equity share capital of Citelum India through a cash consideration of ₹10,000, subject to adjustments agreed under the Share Purchase Agreement.

The acquisition is not classified as a related party transaction, and the company clarified that none of its promoters, promoter group entities, or group companies have any interest in the target company.

Citelum India was incorporated on October 13, 2011, and has its registered office in New Delhi. The company currently has 5 crore equity shares of ₹10 each, with Citelum S.A. holding nearly the entire stake.

The target company operates in the urban infrastructure, smart city solutions, street lighting and utility infrastructure services sector. Krystal Integrated Services expects the acquisition to support its long-term growth plans in infrastructure and smart urban development projects.

Citelum India reported turnover of ₹34.06 crore in FY24, compared to ₹32.85 crore in FY25. The company’s turnover for FY26 currently stands at ₹0.55 crore.
