
Torrent Power Limited has announced the incorporation of a new step-down subsidiary as part of its strategic expansion into green and renewable energy. The company disclosed in a regulatory filing on March 20, 2025, that its wholly owned subsidiary Torrent Green Energy Private Limited (TGEPL) has incorporated Torrent Urja 42 Private Limited, which received its Certificate of Incorporation the same day.
The newly incorporated entity will focus on a wide range of green energy initiatives including hydrogen, ammonia, chemicals, compressed natural gas, and other renewable power sources. Torrent Urja 42 has an authorized and paid-up share capital of ₹5 lakh and is yet to commence operations.
According to the filing, the new Special Purpose Vehicle (SPV) will carry out the generation, transmission, distribution, trading, import/export, and storage of hydrogen and its derivatives, in addition to renewable and non-conventional power. The objective is aligned with Torrent Power’s broader strategy to diversify into green hydrogen and clean energy technologies.
The acquisition of the SPV is a 100% cash transaction, with TGEPL holding the entire equity share capital. The company confirmed that no government or regulatory approvals were required for the incorporation.
This development further strengthens Torrent Power’s commitment to energy transition and its long-term vision to build a sustainable and diversified energy portfolio.
