Astra Microwave Products Limited has announced that its Board of Directors has granted in-principle approval for the demerger of its Space, Meteorology and Hydrology business undertakings into a separate entity. The decision was taken at the Board meeting held on Friday, February 27, 2026, between 11:30 A.M IST and 12:40 P.M IST.
The proposed restructuring is aimed at creating an independent company exclusively focused on the Space, Meteorology and Hydrology segments. According to the management, the move is expected to enable sharper strategic focus, improved operational efficiency and customised capital allocation aligned with the unique growth dynamics of these specialised sectors.
The company believes that carving out the Space, Meteorology and Hydrology vertical will allow dedicated management attention and adoption of tailored growth strategies suited to high-technology and research-driven domains. The restructuring is also expected to unlock shareholder value by allowing the market to better assess and recognise the potential of the separated business.
As part of the process, the Board has authorised the management to consult subject matter experts for further evaluation. The proposal will be placed before the Audit Committee and the Board for detailed consideration. The Audit Committee will appoint a Registered Valuer to determine the share exchange ratio for the proposed demerger.
In addition, the management will finalise the structure of the demerger, including identification of assets, liabilities, contracts, employees and other relevant components that will form part of the Space, Meteorology and Hydrology business undertakings. All necessary actions required to implement the restructuring will be undertaken following regulatory and statutory requirements.
The company has clarified that the approval granted at this stage is only in-principle. The final decision regarding the structure, share exchange ratio and other key terms of the proposed demerger will be taken by the Board after receiving requisite reports and professional opinions.
