Somany Ceramics acquires up to 52% stake in Dura Build Care

Somany Ceramics Limited (SCL) has announced the acquisition of up to 52% equity share capital in Dura Build Care Private Limited (DBCPL), a company engaged in manufacturing and selling construction chemicals. The acquisition, valued at Rs. 10.5 crores, will give SCL access to enhanced production capacity, bolstering its position in the market.

The proposed investment will involve a cash consideration and will be executed in one or more tranches. SCL’s acquisition is not classified as a related party transaction, and no interest will be held by the promoter or group companies in DBCPL. Following the acquisition, DBCPL will become a subsidiary of SCL.

The transaction is expected to be completed within approximately 120 days, with the cash infusion aimed at accelerating growth in the construction chemicals space, which has seen an increasing demand for innovative and high-performance products.

Founded in August 1998, DBCPL has carved a niche in the manufacturing and sale of construction chemicals in India. Over the last three years, the company has maintained a steady revenue stream, with a turnover of Rs. 1510 lakhs for the financial year 2023-24. Despite a slight dip from Rs. 1603 lakhs in FY 2022-23, the company’s growth trajectory has been promising, and it is expected to gain momentum with the proposed investment.

The acquisition aligns with Somany Ceramics’ long-term vision of diversifying its product offerings and expanding its manufacturing capabilities. By stepping into the rapidly growing market for construction chemicals, the company aims to position itself as a key player in the sector, capitalizing on the increased demand for innovative construction solutions.
