Mahindra Lifespace Developers Limited (MLDL) on Thursday said its board has approved the acquisition of the entire 25.65% stake held by Actis Mahi Holdings Singapore Pvt Ltd in Mahindra Homes Pvt Ltd (MHPL) for a cash consideration of up to Rs 90 crore .

Following the transaction, MHPL will become a wholly owned subsidiary of Mahindra Lifespace. Currently, MLDL holds 74.35% in MHPL, while Actis owns the remaining 25.65%.

Incorporated in 2010, MHPL is engaged in residential real estate development, having completed its Windchimes project in Bengaluru and currently developing the final phase of ‘Luminare – Phase 3’ in Gurugram. Over the last three years, MHPL reported revenues of Nil (FY25), Rs 6.56 crore (FY24), and Rs 8.81 crore (FY23) .

The company clarified that the proposed acquisition qualifies as a related-party transaction, but will be carried out at arm’s length terms. The deal is subject to shareholder approval and is expected to be completed within three months from execution of the share purchase agreement.

Mahindra Lifespace said the acquisition reinforces its strategy to consolidate subsidiaries and expand its residential development footprint.
