Ashoka Buildcon Limited has announced the acquisition of 66,50,000 equity shares valued at ₹6.65 crore from its wholly owned subsidiary, Ashoka Infrastructure Limited (AIL), through a Rights Issue. This acquisition was finalised at a meeting held on March 30, 2026.
The transaction involves shares priced at ₹10 each, which has resulted in Ashoka Buildcon now holding a total of 3,30,50,000 fully paid-up equity shares in AIL. Despite this allotment, AIL continues to remain a wholly owned subsidiary of Ashoka Buildcon.
Ashoka Infrastructure Limited, incorporated on July 11, 2002, is engaged in infrastructure development, focusing on projects such as roadways, bridges, and other infrastructural works. The company operates on various models including Build-Operate-Transfer (BOT) and Build-Own-Operate-Transfer (BOOT).
For the financial year 2024-25, AIL reported a total income of ₹1,381.15 lakh and a net worth of ₹(5,001.04) lakh. In previous years, AIL’s turnover was ₹0.67 lakh in FY23-24 and ₹1.82 lakh in FY22-23, with net worth figures of ₹(6,731.44) lakh and ₹(6,672.21) lakh respectively.
The acquisition aligns with Ashoka Buildcon’s strategic interests in the infrastructure sector, particularly in enhancing its capabilities in road and power sector development. The cash consideration for this acquisition underscores the company’s commitment to strengthening its subsidiary’s financial position.
