Apollo Hospitals Enterprise Limited has announced a significant transaction involving its wholly owned subsidiary, Apollo Health and Lifestyle Limited (AHLL), and Limited, known as Cloudnine. The transaction will see AHLL divest its stake in Apollo Specialty Hospitals Private Limited (ASHPL) and Apollo Fertility Centre Private Limited (AFCPL) to Kids Clinic India Limited.

The enterprise value of the transaction is approximately Rs 15,500 million. This includes a cash consideration of Rs 7,650 million and an equity stake of approximately 9.9% in Kids Clinic India Limited, valued at Rs 7,850 million. As a result of this transaction, ASHPL and AFCPL will no longer be subsidiaries of .

The transaction is subject to customary closing conditions and requires necessary regulatory approvals, including approval from the Competition Commission of India (CCI).

In addition, Apollo Hospitals’ Board of Directors has approved the merger of Apollo Hospitals North Limited into Apollo Hospitals Enterprise Limited. This merger is subject to statutory approvals in accordance with the Companies Act, 2013, through the National Company Law Tribunal route.

The Board also recommended a final dividend of ₹10 per equity share, representing 200% of the face value of ₹5 per share, for the financial year 2025-26. This dividend is subject to shareholder approval at the upcoming Annual General Meeting (AGM), scheduled for 25th August 2026.

Furthermore, the Board approved the re-appointment of as Executive Chairman for two more years starting 25th June 2026, and as an Independent Director for a second term of five years, starting 12th November 2026.
