Adani Enterprises Limited has announced the incorporation of a new step-down wholly owned subsidiary, Indore Gujarat Road Limited (IGRL), under its existing subsidiary Adani Road Transport Limited (ARTL). The company confirmed the establishment of IGRL on February 21, 2025, through an official exchange filing.
Adani Road Transport Limited, a wholly owned subsidiary of Adani Enterprises, has established Indore Gujarat Road Limited with an authorized and paid-up share capital of ₹1,00,000, divided into 10,000 equity shares. As of now, IGRL has not commenced its business operations, and its turnover remains nil.
The new entity will focus on road infrastructure services and related development projects, aligning with Adani Enterprises’ broader infrastructure and transport business strategy. The company intends to utilize IGRL for executing infrastructure-related businesses and performing all necessary and incidental activities in this domain.
According to the filing, this acquisition does not fall within related party transactions, and there is no involvement of the promoter or promoter group in the transaction. Since IGRL is a newly incorporated entity, there are no historical turnover details available for the past three years.
The incorporation of IGRL is part of Adani Enterprises’ ongoing expansion in the road infrastructure sector. The company did not specify any immediate regulatory approvals required for the acquisition, and there is no cash consideration or share swap involved. ARTL holds 100% of IGRL’s share capital, ensuring full ownership and control over the new entity.
