Adani Ports and Special Economic Zone Ltd (APSEZ) shares gained 2% on Thursday after the company expanded its logistics portfolio through a new acquisition.
The company, via its step-down subsidiary Mandhata Build Estate Limited, acquired 100% equity in Dependencia Logistics Private Limited from Windson Projects LLP. The deal, executed under a Share Purchase Agreement on September 10, 2025, was valued at ₹37.77 crore in cash consideration.
Dependencia Logistics, incorporated in February 2022 and based in Mumbai, was set up to provide transportation and logistics services across multiple goods categories. While the company has not yet begun commercial operations, Adani Ports considers this acquisition a strategic move to strengthen its logistics footprint and build synergies with its existing businesses.
APSEZ also clarified that the deal does not qualify as a related-party transaction and did not require regulatory approvals. With this transaction, Dependencia becomes a wholly owned subsidiary under Adani Ports’ logistics arm.
