Rubfila International Limited has successfully passed a special resolution via postal ballot, approving the continuation of the directorship of Shaukat Hasanali Merchant (DIN: 00075865) as an independent director upon attaining the age of 75 years.
The remote electronic voting, conducted from 24 February 2026 to 25 March 2026, yielded overwhelming shareholder support for the resolution. Out of 2,84,87,904 total shares held by members eligible to vote through e-voting, 2,84,85,603 votes were cast in favour of the resolution, representing 99.99% approval. Only 2,301 votes, equivalent to 0.01%, were cast against the resolution.
The votes in favour represent 52.49% of the company’s paid-up capital, exceeding the requisite majority threshold required under the Companies Act, 2013 for a special resolution. CS Sreekumar P S of SVJS & Associates, appointed as the Scrutinizer for the postal ballot process, confirmed the results in compliance with Rule 20 of the Companies (Management and Administration) Rules, 2014.
The postal ballot notice was issued on 13 February 2026 under Section 110 of the Companies Act, 2013, read with Rule 22 of the Companies (Management and Administration) Rules, 2014, and in accordance with the Ministry of Corporate Affairs Circular No. 03/2025 dated 22 September 2025. Central Depository Services (India) Limited (CDSL) was appointed as the service provider for the remote electronic voting facility.
