G R Infraprojects has successfully completed the sale and transfer of its wholly owned subsidiaries to , marking a significant corporate restructuring. The subsidiaries involved in this transaction include Private Limited, Private Limited, and Private Limited. The transfer was finalised on 25th March 2026, following the receipt of consideration from Indus Infra Trust.

The aggregate consideration for the sale and transfer of these subsidiaries is substantial, amounting to a total of ₹273.21 crore. Specifically, GR Bilaspur Urga Highway Private Limited was sold for ₹102.93 crore, GR Ujjain Badnawar Highway Private Limited for ₹16.51 crore, and GR Ena Kim Expressway Private Limited for ₹153.78 crore. This transaction signifies a strategic move by to streamline its operations and focus on core activities.

GR Ena Kim Expressway Private Limited, being a material subsidiary, required shareholder approval, which was sought through a postal ballot. The completion of this sale means that these entities will no longer be part of G R Infraprojects’ wholly owned subsidiaries.

Indus Infra Trust, the buyer, is a related party of G R Infraprojects, and the transaction was conducted at arm’s length. The trust does not belong to the promoter or promoter group of G R Infraprojects. This sale does not fall under any Scheme of Arrangement, and there are no compliance issues with regulation 37A of the LODR Regulations.
