R Systems International Limited, a global leader in digital product engineering, has announced an exciting move to acquire Novigo Solutions, a specialist in low-code/no-code (LCNC) development and intelligent automation services.
This strategic acquisition brings together two powerhouses in digital engineering, creating a combined entity with annual revenue of around INR 20,600 million (~$240M) and INR 3,800M (~$45M) EBITDA. The combined platform will offer end-to-end engineering, deployment, and management of enterprise-scale AI agent fleets under a single, governed system.
Novigo has been on a remarkable growth trajectory, delivering 44% revenue CAGR over the past three years, with a 25% EBITDA margin and strong free cash flow. The acquisition deal includes an upfront cash payment of INR 400 crore, with additional stock consideration tied to future performance. Importantly, this deal is expected to be EPS accretive for R Systems right from year one.
By joining forces, R Systems and Novigo are well-positioned to meet the evolving demands of enterprises increasingly shifting IT budgets toward autonomous, compliance-ready AI workflows. The integration combines R Systems’ OptimaAI Suite with Novigo’s UiPath Diamond-tier automation expertise and Microsoft Copilot Centre of Excellence, creating a unique capability to design, orchestrate, and operate intelligent enterprises of the future.
The acquisition also expands R Systems’ presence in the fast-growing Middle East market and enhances delivery capabilities in Bangalore and Tier 2 cities like Mangalore. Novigo’s leadership team will continue to be part of the combined platform, driving growth and innovation.
