Mankind Pharma Limited has announced the successful completion of the amalgamation of three of its group companies—Shree Jee Laboratory Private Limited, JPR Labs Private Limited, and Jaspack Industries Private Limited—with itself. The merger has become effective from March 29, 2025, following the filing of necessary forms with the Registrar of Companies (ROC).

The Scheme of Arrangement was earlier approved by the National Company Law Tribunal (NCLT), New Delhi Bench, on February 25, 2025, and the certified copy of the order was received on March 12, 2025. As per Clause 1.7 of the Scheme, the effective date is the day on which the certified order is filed with the ROC.

With this merger, all assets and liabilities of the transferor companies now stand transferred to Mankind Pharma. Additionally, the authorized share capital of the transferor entities has been merged with that of Mankind Pharma. Following the merger, the revised authorized capital of the company now stands at Rs 421.51 crore, comprising equity shares and optionally convertible preference shares.

The merger aims to streamline operations and enhance synergy across the group entities.
