JK Cement on Friday announced that the National Company Law Tribunal (NCLT), Allahabad Bench, has approved the merger of its wholly owned subsidiary, Toshali Cements Pvt. Ltd., with JK Cement Ltd.
The order, dated September 12, 2025, makes the scheme effective from January 1, 2024, as the appointed date. Upon completion of statutory filings with the Registrar of Companies and the Ministry of Corporate Affairs, Toshali Cements will be dissolved without winding up.
The company noted that all assets, liabilities, employees, and proceedings of Toshali Cements will be transferred to JK Cement, consolidating operations under a single entity. Since Toshali Cements is wholly owned, no new shares will be issued as part of the merger.
JK Cement stated the move will help streamline its corporate structure and capture operational efficiencies.
