Jash Engineering Limited has announced that its UK-based subsidiary, Waterfront Fluid Controls Limited, has signed an agreement/Letter of Intent (LOI) to acquire Penstocks (UK) Limited, located in Leicestershire, United Kingdom. The proposed acquisition is currently subject to due diligence, which is expected to be completed in the coming weeks. The companies plan to finalize the Share Purchase Agreement (SPA) by November 2025.
Through this strategic acquisition, Waterfront Fluid Controls will gain ownership of a manufacturing facility in the Midlands, along with specialized penstock designs and an established client base. The deal also provides access to Penstocks (UK) Limited’s framework agreement with a water utility company, further strengthening Waterfront’s presence in the region.
The acquisition will enable Waterfront to achieve a pan-UK footprint, expanding its operations from Scotland to the Midlands. As several major UK water utility companies are based in the Midlands and South England, this move will significantly enhance Waterfront’s ability to serve clients with improved marketing and servicing capabilities.
Jash Engineering stated that this acquisition aligns with its long-term vision to become a leading player in the UK water equipment industry within the next three years. The company will release additional details once the SPA is finalized, in compliance with SEBI (LODR) Regulations, 2015.
