Indian Hume Pipe Company Limited has successfully completed the sale of its freehold land parcel located at Azamabad Industrial Area in Hyderabad, Telangana, marking a significant asset monetisation move for the company. As disclosed under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, the sale deed was executed and registered on December 30, 2025, and the company has already received the entire sale consideration of ₹173.96 crore.
The property sold admeasures approximately 18,311.57 square yards, equivalent to 15,310.80 square metres, and is situated at Plot No. 4, Municipal No. 1-8-675, Azamabad Industrial Area, Azamabad, Hyderabad. The buyer of the land is ASBL Private Limited, formerly known as Ashoka Builders India Private Limited. The company has clarified that the buyer does not belong to the promoter or promoter group, and the transaction does not fall under related party transactions.
Indian Hume Pipe Company has further stated that the sale does not involve any unit, division, subsidiary, associate company, or undertaking of the listed entity. As a result, disclosures relating to turnover, revenue, income, or net worth contribution are not applicable in this case. The transaction also does not meet the threshold of an “undertaking” or “substantially the whole of the undertaking” under Section 180(1)(a) of the Companies Act, 2013, and therefore Regulation 37A of the LODR Regulations is not applicable.
The land has a long history with the company, which had been in possession of the Azamabad property since 1931 under leasehold rights. Following the Government of Telangana’s issuance of G.O.Ms. No. 19 dated August 29, 2023, allowing conversion of leasehold industrial land into freehold, Indian Hume Pipe Company obtained freehold rights by paying conversion charges, including stamp duty, transfer duty, registration fees, and mutation charges, aggregating to ₹107.38 crore. The sale was executed after the successful completion of this conversion process.
