CIAN Agro Industries & Infrastructure Ltd has approved the acquisition of 100% stake in Vyankatesh Engineers & Contractors Pvt Ltd, making it a wholly owned subsidiary, the company announced after its board meeting on November 1, 2025.
As per the filing, the move is aimed at strengthening and expanding the company’s infrastructure business vertical. Vyankatesh Engineers & Contractors Pvt Ltd, incorporated in 2010, is engaged in civil engineering, construction, turnkey contracting, and infrastructure project development services.
The acquisition will be completed within 30 days and will be funded entirely through a cash consideration of Rs 5 crore. The target company currently has a paid-up capital of Rs 5 crore and has reported nil turnover in the recent financial years, indicating it may primarily be a strategic capability and portfolio expansion move rather than a revenue-accretive acquisition at this stage.
CIAN Agro confirmed that the transaction does not fall under related-party deals and has been executed at arm’s length. The company also confirmed its new corporate office will be located at the 4th Floor, Gupta Tower, Civil Lines, Nagpur.
