Brainbees Solutions Limited, the parent company of FirstCry, has announced that its subsidiary Swara Baby Products Private Limited will acquire 100% stake in K.A. Enterprises (Hygiene) Private Limited, also known as KA Hygiene, through a share-swap transaction valued at Rs 57.74 crore.

The acquisition is being executed through a Share Subscription Agreement and a Share Purchase Agreement dated December 22, 2025. Under the transaction, Swara Baby will issue 38,49,572 equity shares to the existing shareholders of KA Hygiene, following which KA Hygiene will become a wholly-owned subsidiary of Swara Baby and a step-down subsidiary of Brainbees Solutions. As a result, Brainbees’ shareholding in Swara Baby will reduce from 87.29% to 75.92% .

KA Hygiene, incorporated in July 2019, operates in the manufacturing and trading of hygiene products. Prior to this acquisition, KA Hygiene had taken over the entire business of K.A. Enterprises, a commonly controlled entity. On a combined basis, the hygiene business reported turnover of Rs 84.01 crore in FY25, Rs 80.42 crore in FY24 and Rs 58.45 crore in FY23, with a profit after tax of Rs 5.22 crore in FY25 .

The company stated that the transaction is a related-party transaction conducted at arm’s length, with no promoter or group company interest beyond shareholding and common directorships. No regulatory or governmental approvals are required, and the acquisition is expected to be completed on or before December 31, 2025 .

The move strengthens Brainbees Solutions’ presence in the hygiene products segment and aligns with its broader strategy of expanding its private-label and manufacturing ecosystem under the FirstCry platform.
