Antony Waste Handling Cell Limited (AWHCL) announced that the National Company Law Tribunal (NCLT), Mumbai Bench, has admitted the Scheme of Merger by Absorption of its subsidiary AG Enviro Infra Projects Private Limited with the parent company.
In its interim order dated September 25, 2025, the NCLT directed that the final hearing for the merger petition will take place on November 27, 2025. The company confirmed that the order has been uploaded on the NCLT website and is also available under the ‘Investor Download’ section of Antony Waste’s official website.
The petition, filed under Sections 230 to 232 of the Companies Act, 2013, seeks to consolidate the businesses of the two entities to streamline operations and enhance efficiency. The NCLT order also mandates issuance of notices to regulatory authorities, including the Ministry of Corporate Affairs, SEBI, RBI, Registrar of Companies, Income Tax Authorities, and other sectoral regulators, seeking representations, if any, within 30 days of notice issuance.
The tribunal further directed publication of the notice in the Financial Express (English) and Navshakti (Marathi) newspapers.
The merger, once effective, is expected to simplify Antony Waste’s corporate structure and strengthen its leadership position in urban solid waste management and environmental services across India.
