Allcargo Gati Limited has officially ceased to exist as a separate legal entity after its amalgamation with Allcargo Logistics Limited became effective on November 1, 2025. The development follows the approval of the Composite Scheme of Arrangement and Amalgamation by the National Company Law Tribunal (NCLT), Mumbai Bench, on October 10, 2025.
The company confirmed that the certified copy of the NCLT order, along with Form INC-28, was filed with the Registrar of Companies on Friday, marking the scheme’s effective date.
With the merger now implemented, Allcargo Gati has been absorbed into Allcargo Logistics, resulting in the cancellation of the scheduled board meeting on November 5, 2025, which was to consider the company’s Q2 FY26 results. The financials of Allcargo Gati will instead be consolidated into the results of Allcargo Logistics in line with accounting standards.
The sanctioned scheme involved the merger of four entities:
• Allcargo Supply Chain Pvt Ltd
• Gati Express & Supply Chain Pvt Ltd
• Allcargo Gati Ltd (formerly Gati Ltd)
• Allcargo Logistics Ltd
The company noted that the merger aims to streamline operations and unlock value across its logistics and supply chain businesses.
