Airfloa Rail Technology Limited has disclosed that it has received adjudication orders from the Registrar of Companies (RoC), Chennai, related to a timing-based delay in transferring unspent Corporate Social Responsibility (CSR) funds for multiple financial years.
In a press release dated January 20, 2026, the company said the matter pertains to procedural delays in the transfer of unspent CSR amounts for FY20, FY21, FY22, and FY23. Airfloa clarified that all applicable unspent CSR amounts were transferred in full before the initiation of adjudication proceedings.
According to the disclosure, the company voluntarily filed a suo moto adjudication application with the RoC after conducting an internal assessment of its CSR compliance. The RoC has since issued adjudication orders imposing aggregate penalties of ₹90 lakh on the company for the respective financial years.
The management stated that the issue is compliance-related in nature and does not impact the company’s business operations, execution capabilities, profitability, or governance structure. Airfloa added that its ongoing projects, client relationships, and vendor engagements remain unaffected.
The company further said it plans to file an appeal with the Regional Director in due course and has strengthened its internal compliance monitoring mechanisms to ensure timely adherence to statutory requirements going forward.
Airfloa Rail Technology operates in the manufacturing of rolling stock components for Indian Railways and undertakes turnkey interior furnishing projects. The company also supplies components to the aerospace and defence sectors and has executed multiple marquee rail projects in India and overseas.
