Adani Energy Solutions Limited (AESL) has formally completed the acquisition of KPS III HVDC Transmission Limited following the execution of a Share Purchase Agreement with PFC Consulting Limited on 12 December 2025 at approximately 11:30 a.m. IST. This follows AESL’s earlier communication dated 18 November 2025 regarding the receipt of the Letter of Intent for the transaction.

KPS III HVDC Transmission Limited, incorporated on 18 January 2024 and registered with the Registrar of Companies in New Delhi, operates within the electric utilities sector as a transmission service provider. The entity has an authorised and paid-up share capital of ₹1 lakh each and has reported no turnover since incorporation. The acquisition does not constitute a related-party transaction, and neither the promoter group nor any group companies hold prior interest in the target entity. AESL has acquired 100 percent of the equity through cash consideration, with shares purchased at a face value of ₹10 each.

The acquisition aligns with AESL’s strategic objective of enhancing shareholder value through expansion in both organic and inorganic avenues. The KPS III project is a key component of the broader renewable energy evacuation framework in the Khavda region. It is designed to support the transmission of 2.5 GW of renewable energy under the Phase-V scheme, which forms part of a larger plan to evacuate an additional 8 GW of renewable energy from the Khavda Renewable Energy Park.
