Capacit’e Infraprojects Limited has announced several key decisions following its Board of Directors meeting held on 20 May 2026. The company approved the incorporation of a new entity for corporate social responsibility (CSR) activities and confirmed the re-appointment of key directors and auditors.
The Board has given the green light to establish ‘CAPACIT’E FOUNDATION’ or an alternative name approved by the Ministry of Corporate Affairs (MCA). This new Section 8 company, limited by guarantee, will focus on undertaking CSR initiatives. The details pertaining to this incorporation will be submitted once the entity is officially established.
In addition to the CSR initiative, Capacit’e Infraprojects has re-appointed Mr. Subir Malhotra as Whole Time Director for a five-year term, effective from 1 November 2026 to 31 October 2031. This re-appointment is subject to approval at the company’s upcoming 14th Annual General Meeting. Mr. Malhotra has confirmed that he is not barred from holding the office of Director by any SEBI order or other authority.
The Board also approved the re-appointment of M/s. Y. R. Doshi & Associates as the Cost Auditor for the financial year 2026-27, and M/s. Ernst & Young LLP as the Internal Auditor for the same period. These decisions were made based on recommendations from the Audit Committee.
Moreover, the Board has decided to alter the Object Clause of the Memorandum of Association (MOA) to include provisions related to integrated building services, such as fire detection and protection systems. This amendment aims to provide more clarity regarding the company’s current business operations and will be subject to approval at the forthcoming Annual General Meeting.
