Bata India has announced the re-appointment of Ms. Radha Rajappa as a Non-Executive Independent Director for a second term of three consecutive years, starting from June 9, 2026. This decision was made by the Board of Directors on April 15, 2026, following the recommendation of the Nomination and Remuneration Committee.
The company will seek shareholder approval for this re-appointment through a Postal Ballot process by way of a Special Resolution. In accordance with the relevant circulars issued by the Ministry of Corporate Affairs and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Bata India will provide a remote e-Voting facility for shareholders. The cut-off date for determining the list of shareholders eligible to receive the postal ballot notice and for reckoning voting rights is set for Friday, April 17, 2026.
Ms. Radha Rajappa brings over three decades of experience in the IT industry, having held various leadership roles in digital transformation and IT products and services. She was a key member of the India Leadership team at Mindtree, where she served as Executive Vice President, leading the Global Digital Business and focusing on industry-led verticals such as Retail, CPG, Manufacturing, Travel, Transportation, and Hospitality. Ms. Rajappa is also a Certified Executive Coach and has previously worked with IBM India in diverse roles.
Bata India affirms that Ms. Rajappa is not debarred from holding the office of director by any SEBI order or any other authority. She is not related to any director of the company.
