Vodafone Idea on Tuesday confirmed that it has receivables of approximately Rs 5,836 crore from the Vodafone Group, following an amendment to the implementation agreement signed at the time of the Vodafone–Idea merger.

In a regulatory filing dated December 31, 2025, the telecom operator informed stock exchanges that it has entered into an Amendment Agreement with its promoter group entities, including Vodafone International Holdings B.V., to discharge obligations under the Contingent Liability Adjustment Mechanism (CLAM) .

As per the disclosure, Vodafone Idea had originally recorded a receivable of Rs 8,369 crore from the Vodafone Group under CLAM, of which Rs 1,975 crore has already been received. The balance amount, capped at Rs 6,394 crore, has now been reassessed, with around Rs 5,836 crore currently recognised as receivable by the company following revised terms .

The amended recovery structure provides for:

  • Cash release of Rs 2,307 crore by Vodafone Group promoters over the next 12 months, and
  • Earmarking of 3.28 billion Vodafone Idea equity shares for five years, with sale proceeds to accrue to the company. As of the amendment date, these shares were valued at Rs 3,529 crore, based on the NSE closing price of Rs 10.76 per share .

Vodafone Idea clarified that receipt of the CLAM amount does not require any pre-condition payments to the Department of Telecommunications, strengthening visibility on future cash flows and providing balance sheet support amid ongoing financial stress .

The board meeting approving the amendment concluded on December 31, 2025, and the transaction does not involve issuance of new shares or fresh related-party arrangements beyond modification of existing terms.
