Awfis Space Solutions Limited on Tuesday announced that its board has approved the sale of its Design and Build (D&B) business to its wholly owned subsidiary, Awfis Transform Private Limited, through a slump sale on a going-concern basis.
In a regulatory filing dated December 23, 2025, the company said the transaction will be carried out via a Business Transfer Agreement executed between Awfis Space Solutions and Awfis Transform Private Limited, subject to shareholder approval through a postal ballot process .
As per the disclosure, the Design and Build business contributed revenue of Rs 2,782.58 million, accounting for 23.13% of the company’s total turnover in FY25, while its net worth stood at Rs 712.67 million, or 15.60% of Awfis’ consolidated net worth for the year .
The initial consideration for the slump sale has been fixed at Rs 265.91 million, based on a valuation carried out under Section 50B of the Income Tax Act. The final purchase price will be determined through an updated valuation report to be obtained by March 31, 2026, with the transaction expected to be completed on or before February 28, 2026, subject to customary conditions .
The company clarified that the transaction qualifies as a related-party transaction since the buyer is a wholly owned subsidiary, but it will be executed on an arm’s length basis. There will be no change in the shareholding pattern of Awfis Space Solutions following the transfer .
Management said the proposed slump sale is aimed at improving operational efficiency, achieving business synergies, and creating a more focused and specialised management structure, in line with the company’s broader corporate strategy .
