Prism Johnson Limited announced that its Board of Directors has approved the sale of an office property located at Windsor, 7th Floor, CST Road, Kalina, Vidyanagari, Santacruz (East), Mumbai. The transaction includes the office premises along with the attached terrace area and designated car parking spaces and will be carried out on an “as is where is” basis.

The property will be sold to Windsor Realty Private Limited for a total consideration of ₹165.91 crore. The company clarified that the sale deed is expected to be executed on or before December 31, 2025, and the transaction is also scheduled to be completed within the same timeline.

Prism Johnson stated that the buyer, Windsor Realty Private Limited, is a related party. The entity has a direct connection with the company’s director, Mr. Akshay Raheja, who is a director and shareholder in Windsor Realty. Additionally, Mr. Rajan Raheja, a relative of Mr. Akshay Raheja, is also deemed to be interested in the transaction. As a result, the proposed sale qualifies as a related party transaction.

The company confirmed that the transaction has been undertaken at arm’s length and does not fall under any scheme of arrangement. Prism Johnson also noted that the office premises being sold did not contribute to the company’s turnover, revenue, income, or net worth during the previous financial year.
