Enviro Infra Engineers Limited, a prominent player in infrastructure and sustainable energy solutions, has successfully acquired Vento Power Infra Private Limited through its wholly-owned subsidiary, EIE Renewables Private Limited.
This follows the Letter of Intent (LOI) received from PTC India Financial Services Limited, with the acquisition formalised through definitive agreements signed on August 20, 2025. Deloitte Touche Tohmatsu India LLP acted as the sell-side transaction advisor, supported by Saraf and Partners as legal advisors.
Vento Power Infra Private Limited, incorporated on 23rd April 2015, is engaged in the development of a 40 MW (AC) grid-connected solar power project in Bolangir District, Odisha. The project is set to generate electricity at a tariff of ₹4.1 per unit for a period of approximately 18 years.
Over the past three years, Vento Power Infra recorded turnovers of ₹19.86 crore in 2021-22, ₹17.34 crore in 2022-23, and ₹16.50 crore in 2023-24, with a net worth of ₹(79.18 crore) as of March 2024. Enviro Infra Engineers acquired 100% ownership of Vento Power Infra for a total cash consideration of ₹115.61 crore, making it a wholly-owned subsidiary of EIE Renewables Private Limited and a step-down subsidiary of Enviro Infra Engineers Limited.
The acquisition is a strategic move for Enviro Infra Engineers, reinforcing its long-term vision to expand into sustainable and future-focused energy sectors. By entering the renewable energy space, the company is positioned to tap into India’s growing clean energy market, particularly in solar power generation. The deal was conducted entirely at arm’s length, with no involvement of promoters or group companies, and required no additional governmental or regulatory approvals.
