RDB Infrastructure and Power Limited (formerly RDB Realty & Infrastructure Limited) has announced the successful acquisition of Gupta Infrastructure (India) Private Limited. This acquisition follows a final order issued by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, on December 24, 2024, in the case of M/s RDB Realty & Infrastructure Limited vs. the Liquidator of Gupta Infrastructure (India) Private Limited.
The acquisition was made possible after the NCLT’s approval of the Scheme of Arrangement between RDB Infrastructure and Power Limited and RDB Real Estate Constructions Limited, sanctioned on May 21, 2024. Under the scheme, the company’s realty division, along with its subsidiaries, was transferred to the resulting company, RDB Real Estate Constructions Limited, with effect from October 1, 2022.
This development represents the completion of the restructuring process, with Gupta Infrastructure now becoming a subsidiary of RDB Real Estate Constructions Limited.
