Windlas Biotech grants over 37,000 stock options under new schemes

Windlas Biotech has announced the approval of stock options and units under its new employee incentive schemes. The Nomination and Remuneration Committee of the Board of Directors approved the grant of 21,250 stock options under the ‘Windlas Plan 2025’ and 15,750 stock options under the ‘WBL Employee Stock Option Scheme 2023’ (ESOS 2023) on 21 May 2026.

Under the ESOS 2023, 15,750 options have been granted to eligible employees. Each option, when exercised, will entitle the holder to one fully paid-up equity share of the company with a face value of ₹5. The exercise price will be determined by the committee, allowing a discount of up to 25% from the market price on the grant date. The options will vest over a period of one to four years and can be exercised within four years from the vesting date.

The Windlas Plan 2025 involves the grant of 21,250 stock options/units. These units, upon exercise, will also convert into equity shares of ₹5 each. The units are granted at the face value of ₹5 per share. Vesting will occur in four equal instalments over 12, 24, 36, and 48 months from the effective grant date. The exercise period for these vested units is four years from the vesting date.

Both schemes are in accordance with the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. The effective date for the grant of these options and units is 21 May 2026.
