PNB Housing shares rally over 5% as Q4 net profit surge 19.2% YoY to Rs 656 crore

PNB Housing Finance shares rallied over 5% after the company reported a strong set of consolidated results for the quarter ended March 31, 2026, supported by healthy profit growth, improving asset quality, and steady expansion in its loan book.

The company posted a net profit of ₹655.80 crore in Q4 FY26, marking a rise of 19.2% year-on-year and 26.03% sequentially, reflecting sustained earnings momentum. Net interest income (NII) grew 11% to ₹808 crore compared to ₹728 crore in the same quarter last year, driven by a larger loan book and stable spreads despite elevated funding costs. Earnings per share (EPS) stood at ₹25.17, registering strong growth both on a quarterly and annual basis.

Revenue for the quarter came in at ₹2,171.91 crore, increasing 2.42% quarter-on-quarter and 6.63% year-on-year, indicating consistent topline expansion. The performance highlights the company’s ability to maintain growth in a challenging macro environment marked by elevated interest rates and global uncertainties.

A key highlight of the quarter was the significant improvement in asset quality. Gross non-performing assets (GNPA) declined to 0.93% from 1.04% in Q3 FY26, while net NPA (NNPA) improved to 0.57% from 0.68% sequentially. The drop in GNPA below the 1% mark stands out as a major positive, signalling strengthening credit quality and improved risk management during a volatile economic phase.

The company’s loan book continued to expand at a healthy pace, rising to ₹86,433.37 crore from ₹74,645.32 crore a year earlier, translating into growth of nearly 15.8%. This growth was supported by strong disbursement momentum in the affordable and mid-income housing segments. Net worth increased to ₹19,219.13 crore, reflecting the accumulation of profits and a stronger balance sheet position.

Liquidity also improved, with cash and cash equivalents rising to ₹2,483.06 crore compared to ₹2,062.50 crore in the previous year, providing a comfortable buffer to support ongoing lending activity.

Operating cash flow showed a net outflow of ₹8,983.55 crore, which aligns with the company’s aggressive loan growth strategy rather than indicating any operational weakness. The outflow primarily reflects capital deployment into new loan originations. This expansion was largely funded through financing inflows of ₹8,719.78 crore raised via borrowings and debt securities, while investing activities contributed inflows of ₹684.33 crore.

The reliance on market borrowings remains a structural aspect of the housing finance business, particularly in a high interest rate environment where finance costs stood at ₹1,246.08 crore for the quarter. While this continues to exert pressure on margins, the growth in NII suggests that the company is managing its funding costs effectively.

In addition to the strong financial performance, the board of PNB Housing Finance has recommended a final dividend of ₹8 per equity share for FY26, subject to shareholder approval at the upcoming annual general meeting.

PNB Housing shares fall over 21% in two days after MD & CEO Girish Kousgi resigns

PNB Housing Finance shares have plunged more than 21% in the last two trading sessions following the resignation of its Managing Director and CEO, Girish Kousgi. Today, as of 10:52 AM, the shares were trading 3.40% lower at Rs 781.00.

The board officially accepted his resignation during its meeting held on July 31, 2025. As of 9:53 AM on Monday, the stock was trading nearly 15% lower at ₹835.75 on the NSE.

In a stock exchange filing, PNB Housing confirmed that Kousgi’s resignation will take effect from the close of business hours on October 28, 2025. The company stated that he is stepping down to explore external opportunities.

Kousgi, who took charge during a pivotal phase of strategic realignment, played a key role in the company’s restructuring and growth journey. Alongside his resignation as MD & CEO, he will also step down from the boards of PNB Housing subsidiaries—PHFL Home Loans and Services Ltd. and PEHEL Foundation—on the same date.

The Board of Directors has acknowledged his contributions and expressed appreciation for his leadership. The company also confirmed that all statutory disclosures, including the resignation letter and other regulatory filings, have been uploaded to its official website as per SEBI norms.

The resignation was officially accepted by the board during its meeting held on July 31, 2025. As of 9:53 AM, the shares were trading 15% lower at Rs 835.75.

According to the company’s stock exchange filing, Kousgi’s resignation will be effective from the close of business hours on October 28, 2025. The company stated that he is stepping down to pursue opportunities outside the organisation.

Kousgi had been leading PNB Housing through a crucial phase of strategic growth and restructuring. As part of his departure, he will also vacate his positions on the boards of PHFL Home Loans and Services Ltd. and PEHEL Foundation, both subsidiaries of PNB Housing, on the same date.

PNB Housing shares jump over 2% as Q1 net profit rises 23% YoY to 533.5 crore, NII up 24.2% YoY

PNB Housing Finance shares gained over 2% in early trade on July 22 after the company posted a strong set of earnings for the first quarter of FY26. As of 9:33 AM, the shares were trading 2.20% higher at Rs 1,108.10.

The housing finance firm reported a 23.2% year-on-year (YoY) jump in net profit to ₹533.5 crore for the quarter ended June 30, 2025, compared to ₹432.8 crore in Q1 FY25.

Revenue from operations rose 14% YoY to ₹2,076 crore, up from ₹1,823 crore in the same period last year. The company’s net interest income (NII)—a key profitability metric for lenders—increased 24.2% YoY to ₹688 crore, up from ₹554 crore in Q1 FY25. Gross margin, net of acquisition cost, stood at 4.06%.

PNB Housing also reported better asset quality across the board. Its gross non-performing assets (GNPA) ratio improved to 1.06% as of June 30, 2025, compared to 1.35% a year earlier and 1.08% in the previous quarter (March 31, 2025).

Retail GNPA also declined to 1.07%, from 1.39% in Q1 FY25 and 1.09% in Q4 FY25, indicating healthier collections and lower slippages in the retail loan portfolio.

PNB Housing Finance witnessed substantial activity in the stock market on Wednesday, November 13, as Morgan Stanley, Societe Generale, and Ghisallo Master Fund acquired a combined 1.77 crore shares, or a 6.82% stake, through open market transactions totaling ₹1,664 crore.

Key Details of the Bulk Deals:

Morgan Stanley: Through its arm Morgan Stanley Asia Singapore, the firm purchased over 1.42 crore shares, equivalent to a 5.4% stake in PNB Housing Finance, in two separate transactions.
Ghisallo Master Fund: Acquired 17.90 lakh shares.
Societe Generale: Bought 17.09 lakh shares.
Average Purchase Price: ₹939.30 per share, amounting to a total value of ₹1,664.55 crore.

Carlyle Group Offloads Stake

On the other side of the transaction, Carlyle Group, via its affiliate Quality Investment Holdings PCC, offloaded a significant 9.43% stake (2.45 crore shares) in PNB Housing Finance through open market transactions. This sale generated ₹2,301.58 crore, with shares sold at an average price of ₹939.42 each.

CCI approves Carlyle’s investment of Rs 4,000 crore in PNB Housing Finance

The Carlyle Group’s proposal of investment of Rs 4,000 crore in PNB Housing Finance had been approved by the Competition Commission, which has made it the majority shareholder, Securities Appellate Tribunal is yet to give their judgment on the matter.

The PNB Housing’s share price jumped over 5 per cent upper circuit at Rs 720.45 on BSE after the news flashed over media.

The principal promoter of the mortgage lender, the board of PNB, had said to the home financier to consider repricing their initial transaction.

The PNB Housing has said that they would wait for the appellate court order on the matter and that SAT was yet to give their judgement after the hearing of both Sebi’s and PNB Housing’s counsel.

On May 31, the PNB Housing Board had approved placement of 82 million preferential equity shares and 20.5 million share warrants with Pluto investments, a Carlyle Group company, and Salisbury Investments.

The other proposed investors would be General Atlantic Singapore Fund FII Pte Ltd and Alpha Investments V Pte Ltd.

A capital infusion with 80 per cent contribution was led by Carlyle. The stock jumped to Rs 880 per piece within days of their announcement, the initial issue price of the deal was Ra 390 per share.

On June 18, in a letter to PNB Housing, Sebi had directed the home financier to check out the valuation of their business by an independent agency as they were going to seek for shareholders’ vote over the deal.
