Blue Star to acquire remaining 51% of Blue Star Qatar for up to ₹50 lakh

Blue Star Limited has announced its decision to acquire the remaining 51% shareholding in its subsidiary, Blue Star Qatar W.L.L. (BSQ), from Al Malki Trading & Contracting Co. (ATC). The acquisition is aimed at simplifying the shareholding structure without altering control, with the total consideration not exceeding ₹50 lakh.

The Executive Management Committee of Blue Star’s Board approved the acquisition during its meeting on May 19, 2026. The acquisition is subject to fair market valuation and compliance with applicable foreign exchange laws and Reserve Bank of India guidelines. Currently, Blue Star holds 49% of BSQ’s share capital, but it controls 95% of the economic interest and management.

BSQ, a joint venture between Blue Star and ATC, was initially structured to comply with Qatari laws that required a minimum of 51% local ownership. However, recent regulatory changes in Qatar now permit 100% foreign ownership in BSQ’s business line, prompting Blue Star to pursue full ownership.

BSQ operates in the design, engineering, installation, maintenance, and contracts related to mechanical, electrical, and plumbing systems in Qatar. For the financial year ending March 31, 2026, BSQ reported a turnover of QAR 53 million.

The acquisition will proceed following necessary approvals in Qatar and India, along with the execution of definitive agreements and customary closing conditions.
