Anupam Rasayan to acquire 74.20% stake in Bliss GVS Pharma for Rs 1,369 crore

Anupam Rasayan India has announced its intention to acquire a significant stake in Bliss GVS Pharma, a move designed to bolster its presence in the pharmaceutical sector. The acquisition involves purchasing up to 74.20% of Bliss GVS Pharma’s equity shares, with the transaction valued at approximately ₹1,369.51 crore.

The board of directors of Anupam Rasayan approved the acquisition during a meeting held on 23 May 2026. The transaction is structured through a share purchase agreement (SPA) with identified sellers, allowing Anupam Rasayan to acquire 43.30% of Bliss GVS Pharma’s total paid-up share capital at a price of ₹299 per share. This initial purchase amounts to ₹1,369.51 crore.

Additionally, Anupam Rasayan has the option to acquire up to 51,81,571 residual equity shares, representing 4.90% of Bliss GVS Pharma’s share capital, at the same price per share. This call option can be exercised within a year from the closing date of the initial transaction.

An open offer will also be made to the public shareholders of Bliss GVS Pharma for up to 26% of the company’s equity share capital. This offer is priced at ₹299 per share, aggregating to ₹829.03 crore, in compliance with the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

The acquisition aims to strengthen Anupam Rasayan’s strategic position in the pharmaceutical industry by leveraging Bliss GVS Pharma’s capabilities in niche dosage forms and its strong international presence. The integration is expected to enhance operational efficiencies and drive long-term growth.
