Hi-Tech Pipes has announced the acquisition of a 100% stake in Private Limited for a total consideration of ₹25.77 crore. The acquisition, approved by the company’s Board of Directors, will see Sain Software Systems become a wholly-owned subsidiary of .

Sain Software Systems, a private limited company incorporated under the Companies Act, 2013, is engaged in providing information technology services. The company has its registered office in Defence Colony, . Despite having a net worth of ₹2.35 crore as of 31st March 2025, the company reported no turnover for the last financial year.

The acquisition is aimed at acquiring the land and building owned by Sain Software Systems, which will be used for Hi-Tech Pipes’ office premises. This move is expected to support the company’s current operational and future administrative requirements, providing long-term strategic value and ensuring efficient resource utilisation.

Hi-Tech Pipes plans to rebrand the target company and align it with its steel pipe business operations to achieve better operational synergy and brand consistency. The acquisition, which involves a cash consideration, is expected to be completed on an immediate basis, with a maximum time period of 90 days.

No governmental or prior regulatory approvals are required for this acquisition, which is being conducted on an arm’s length basis. The acquisition price was determined based on a valuation report from an independent registered valuer, and it includes the cost of land and building.
