SAMHI Hotels Limited has approved an investment to acquire a 70% partnership stake in RARE India for a total consideration of ₹473.9 million, strengthening its presence in India’s luxury hospitality and experiential travel segment.

The decision was approved by the company’s board of directors during a meeting held on 5 March 2026 between 6:00 p.m. and 6:40 p.m. IST. The acquisition will be executed through a mix of primary capital infusion and purchase of partnership interests from existing partners.

Under the proposed transaction, SAMHI Hotels will invest ₹233.9 million as primary capital into RARE India and acquire partnership interests worth ₹240 million from existing partners. The investment will be completed in two successive tranches.

In the first tranche, SAMHI Hotels will acquire a 55% partnership interest and equivalent share in the profits of the firm through a capital contribution of ₹168.9 million and a partnership interest purchase worth ₹144 million. The second tranche will increase the company’s stake to 70%, involving a further capital contribution of ₹65 million and an additional ₹96 million purchase of partnership interest.

The first tranche is expected to be completed on or before 31 May 2026, subject to fulfilment of certain conditions precedent. The second tranche is expected to close within 12 months from the completion of the first tranche.

RARE India operates in the hospitality services sector and runs a curated platform focused on conscious luxury travel experiences. The firm aggregates more than 60 luxury hotels and retreats across India, including heritage palaces, forts, lodges, and boutique properties.

The platform represents these properties and connects travellers with hotel custodians through curated travel experiences. Its services include developing marketing and promotional strategies, managing social media outreach, creating public relations and media plans, and offering training and creative support to partner hotels.

RARE India also designs thematic travel programmes around wildlife, culture, spirituality, art, cuisine, and other experiential tourism segments. In addition, it collaborates with domestic and international tour operators to list partner hotels on global travel directories.

SAMHI Hotels stated that the acquisition aligns with its broader strategy of expansion through acquisitions and operational turnaround initiatives in the hospitality sector.
