GEM Enviro Management Limited has announced the incorporation of its wholly owned subsidiary, GEM Green Infra Tech Private Limited, following approval from the Ministry of Corporate Affairs (MCA). The Certificate of Incorporation was issued on March 21, 2025, and marks a strategic move to expand GEM Enviro’s operations in the infrastructure and sustainability domain.
This update follows the company’s earlier communication dated March 7, 2025, in which the Board of Directors had approved the incorporation of the subsidiary. GEM Green Infra Tech will focus on providing infrastructure solutions in sustainability areas, aligning with GEM Enviro’s broader environmental management objectives.
The new entity has an authorised share capital of Rs 10 lakh and a paid-up share capital of Rs 7.6 lakh. As it is newly incorporated, there is no turnover reported as of now. The acquisition has been executed through 100% cash consideration, and GEM Enviro holds the entire shareholding in the subsidiary.
The company clarified that the transaction qualifies as a related party transaction post-incorporation, but promoters or promoter group entities have no specific interest beyond that.
GEM Green Infra Tech is expected to support the company’s existing business lines and play a key role in delivering sustainable infrastructure solutions, reinforcing GEM Enviro’s presence in India’s growing green sector.
